Seedable Community Guidelines

1. Core principles

Everyone using Seedable must follow these principles:

• Be truthful. Do not mislead people about your identity, authority, organisation, startup, traction, finances, customers, investors, qualifications, regulatory status or intentions.
• Be respectful. Communicate professionally. Do not harass, threaten, intimidate, demean, discriminate against or exploit other people.
• Be lawful. Comply with applicable laws, including laws concerning financial promotions, securities, fundraising, privacy, intellectual property, sanctions, cybercrime and online content.
• Protect confidentiality. Share only information you are entitled to disclose and respect the intended audience of private materials.
• Protect platform safety. Do not misuse Seedable, interfere with its security or help another person evade enforcement.
• Exercise independent judgement. A profile, pitch approval, engagement level, badge, ranking or recommendation signal is not an endorsement by Seedable.
• Conduct your own diligence. Users remain responsible for verifying claims, professional status, regulatory permissions and investment opportunities.

2. Authentic identity, accounts and affiliations

You must provide accurate account and profile information.

You must not:

• Create a fake or deceptive account;
• Impersonate another person, startup, fund, company, government body, regulator or Seedable representative;
• Use another person’s photograph, biography, credentials or work without permission;
• Misstate your employment, role, authority, qualifications, investment mandate, portfolio, licences or affiliations;
• Claim to represent an organisation without authority;
• Share or sell an account;
• Allow another person to use your account in a way that conceals their identity;
• Create duplicate accounts to deceive users, manipulate engagement or avoid restrictions;
• Create or use another account after suspension or banning without Seedable’s written permission; or
• Claim that Seedable has verified your identity, investor status, startup, organisation or regulatory position unless Seedable has expressly confirmed that specific verification.

You must be at least 18 years old to use Seedable.

Profile labels such as “Founder” or “Investor” describe how an account uses the platform. Unless Seedable expressly states otherwise, they do not establish that the person is professionally qualified, authorised, regulated or suitable to participate in an investment.

Seedable may request reasonable evidence of identity, age, authority, professional status, business existence or regulatory status where necessary to investigate a report or protect platform integrity. Any such review is not legal, financial or investment verification.

Notify admin@seedable.co promptly if you believe your account has been compromised.

3. Accurate startup and investment-related content

Startup and investment-related statements must be fair, clear and not misleading.

You must have a reasonable basis for factual claims and must clearly distinguish between:

• Historical facts;
• Current facts;
• Estimates;
• Targets;
• Opinions;
• Assumptions; and
• Forward-looking statements.

Where appropriate, explain the material assumptions, limitations and risks associated with projections or performance claims.

You must not:

• Fabricate or manipulate revenue, user numbers, customers, partnerships, pilots, intellectual property, funding, valuation, awards, press coverage, advisers or team members;
• Present an expression of interest, unpaid trial, letter of intent, non-binding agreement, pipeline opportunity or ongoing negotiation as completed revenue or a binding customer;
• Describe projected or annualised results as historical results;
• Present gross transaction value as company revenue without an adequate explanation;
• Omit a material fact where doing so makes another statement misleading;
• Display selective metrics designed to conceal negative or contradictory information;
• Misrepresent the source, date, methodology or reliability of data;
• Guarantee investment returns, liquidity, capital protection, fundraising success, an exit or any other outcome;
• Describe an opportunity as “risk-free”, “guaranteed”, “certain” or equivalent;
• Use fake scarcity, fabricated deadlines or pressure tactics intended to prevent proper diligence;
• Falsely claim that Seedable, an investor, regulator, accelerator, government body or recognised organisation has endorsed or approved an opportunity;
• Publish confidential cap tables, investment terms, financial information, personal data or documents without authority;
• Use testimonials, logos, customer names or investor names without permission;
• Submit a pitch on behalf of a startup without authority; or
• Resubmit materially unchanged content in an attempt to avoid a moderation decision.

Seedable’s review or approval of a pitch concerns platform publication only. It does not verify the pitch, endorse the startup or confirm that the content complies with every law that may apply.

Founders remain responsible for keeping live profile and pitch information reasonably current and correcting material inaccuracies.

4. Financial promotions and regulated activity

You are responsible for determining whether your profile, pitch, post, message, document or other communication is a financial promotion, securities offer or regulated activity in any relevant jurisdiction.

You must not use Seedable to:

• Make an unlawful offer, invitation, solicitation or inducement relating to securities, financial products or regulated services;
• Target a communication at an audience that is not legally permitted to receive it;
• Conduct regulated activity without all required licences, permissions and approvals;
• Falsely claim to be authorised, exempt, licensed or regulated;
• Provide personalised investment advice unless legally authorised and permitted by Seedable;
• Operate brokerage, dealing, arranging, placement, crowdfunding, exchange, custody, portfolio-management or payment services through Seedable;
• Collect, receive, hold, transmit or control investment funds through Seedable;
• Complete or settle an investment transaction through the platform;
• Request that Seedable or its personnel negotiate investment terms, assess suitability, validate a valuation or recommend an investment;
• Promote a token, security, fund or financial product unlawfully;
• Raise money for an unlawful or undisclosed purpose; or
• Evade financial sanctions, anti-money-laundering requirements or investor-protection rules.

Any claim of regulatory authorisation must be accurate, current, capable of verification and limited to the activities actually covered by that authorisation.

Seedable may restrict, reject or remove content where its audience, wording, geography or subject matter presents legal or regulatory risk.

5. Harassment, discrimination and personal safety

Do not:

• Threaten, celebrate or encourage violence;
• Encourage suicide, self-harm or dangerous behaviour;
• Stalk, monitor or repeatedly contact someone after a clear request to stop;
• Attempt to bypass a user’s block;
• Bully, intimidate, shame or humiliate another person;
• Sexually harass another person or send unwanted sexual or romantic content;
• Blackmail, extort or threaten to disclose private information;
• Publish or threaten to publish identifying or private information to cause harm;
• Coordinate harassment or encourage others to target a person;
• Make malicious allegations intended to damage another person;
• Exploit a person’s vulnerability, financial difficulty or lack of experience; or
• Use Seedable to facilitate human exploitation or trafficking.

Do not attack, exclude or demean people based on race, colour, nationality, ethnicity, religion, sex, gender, sexual orientation, disability, age or another legally protected characteristic.

Legitimate professional preferences, sector focus, geographic focus and lawful investment criteria must be expressed respectfully and without unlawful discrimination.

6. Illegal, dangerous and harmful content

Do not upload, send or promote content involving:

• Terrorism, violent extremism or unlawful incitement;
• Child sexual abuse or exploitation;
• Sexual exploitation or non-consensual intimate material;
• Human trafficking;
• Illegal weapons, drugs, goods or services;
• Fraud, money laundering, sanctions evasion or unlawful fundraising;
• Blackmail, extortion or coercion;
• Defamation, unlawful threats or invasion of privacy;
• Instructions designed primarily to facilitate serious wrongdoing;
• Obscene or otherwise prohibited content;
• Deliberately falsified documents or evidence;
• Content that unlawfully infringes another person’s reputation or rights; or
• Any other activity that is unlawful in the UAE, the ADGM or another applicable jurisdiction.

Content may be restricted in one country even if it is lawful elsewhere. Seedable may restrict content or access where necessary to comply with local law or protect users.

7. Privacy, confidential information and documents

Respect other people’s privacy and confidentiality.

You must not upload, publish or share another person’s:

• Private contact details;
• Precise home address;
• Identity document;
• Financial-account or payment information;
• Authentication credential;
• Health information;
• Private message;
• Confidential business information; or
• Other sensitive or personal data

unless you have a lawful basis, all necessary permission and a legitimate reason to do so.

Do not share pitch decks, uploaded documents, data-room materials, investment documents, screenshots, messages or attachments outside their intended audience without authorisation.

Access to a document through Seedable does not give you ownership of it or a right to redistribute it.

Seedable’s document visibility settings help limit access within the platform, but they do not themselves create a non-disclosure agreement. Users should put appropriate confidentiality agreements in place where needed.

Do not use information obtained through Seedable to:

• Build an unauthorised contact database;
• Send unrelated marketing;
• Harass or monitor another user;
• Perform unauthorised background checks;
• Reveal confidential fundraising or investment activity; or
• Circumvent a person’s privacy choices.

8. Intellectual property

Upload or share only content that:

• You created;
• You own;
• You are licensed to use; or
• You are otherwise legally entitled to provide.

Do not copy, distribute or misuse another person’s:

• Pitch materials;
• Business plan;
• Branding or trademarks;
• Photographs, graphics, music or videos;
• Software or source code;
• Research or written work;
• Confidential documents; or
• Other protected material.

Do not remove ownership notices, watermarks or access restrictions.

The fact that material is available online or visible through Seedable does not mean it is free to reuse.

Parody, commentary, criticism and quotation must remain within applicable law.

Intellectual-property concerns may be reported to admin@seedable.co with identification of the relevant content, an explanation of the rights concerned and supporting information.

9. Spam, manipulation and platform abuse

Do not:

• Send repetitive, indiscriminate or unwanted connection requests, pitches or messages;
• Continue contacting a person who has asked you to stop;
• Use Seedable primarily to redirect users to unrelated promotions;
• Buy, sell or exchange accounts, followers, likes, comments, views, saves, shares or introductions;
• Coordinate fake or reciprocal engagement intended to mislead users;
• Use bots, scripts or unauthorised automation;
• Scrape, harvest or systematically copy profiles, pitches, messages or contact information;
• Manipulate Discover rankings or engagement measurements;
• Artificially generate pitch impressions, watch time, profile clicks or other activity;
• Interfere with content rotation or recommendation systems;
• Abuse reporting, blocking or moderation tools;
• Evade a block, suspension, ban, rate limit or other restriction;
• Probe or test Seedable systems without written authorisation;
• Overload or disrupt the Services;
• Reverse engineer protected areas of the Services except where the law expressly permits it; or
• Help another person commit any of these acts.

Normal use of Seedable’s sharing and networking features is permitted. The issue is deceptive, excessive, unauthorised or harmful use.

10. Malware, phishing and fraud

Do not use Seedable to:

• Distribute malware, spyware, ransomware or harmful code;
• Link to credential-stealing or deceptive login pages;
• Request another user’s Seedable password or authentication code;
• Send deceptive links or malicious attachments;
• Operate an advance-fee, recovery-fee, pyramid or impersonation scheme;
• Send false invoices or payment instructions;
• Impersonate an investor, founder, adviser, government body or regulator;
• Clone a legitimate company, fund or investment portal;
• Request unusual payment methods as part of a deceptive scheme;
• Obtain money, property, credentials or confidential information through deception; or
• Conceal the true identity or destination of a payment.

Be cautious of users who apply pressure, avoid normal diligence, request secrecy or unexpectedly change payment details.

Seedable will never ask you to transfer investment funds to Seedable on behalf of another user.

11. Off-platform and Seedable-related conduct

These Guidelines primarily govern use of Seedable. However, Seedable may consider credible off-platform conduct where it:

• Directly targets a Seedable user;
• Originated through a Seedable interaction;
• Creates a serious safety or fraud risk for the Seedable community;
• Involves misuse of information obtained through Seedable;
• Involves impersonation of Seedable;
• Attempts to evade a Seedable restriction; or
• Could expose Seedable or its users to significant legal or regulatory harm.

These Guidelines will also apply to any future online or in-person event expressly hosted or branded by Seedable.

Where appropriate, Seedable may ask for reliable supporting information before taking action based on off-platform conduct.

12. Reporting and blocking

You can currently:

• Report a user through the profile safety controls;
• Report a group conversation through the group controls;
• Block or unblock another user; or
• Report another concern by emailing admin@seedable.co.

When reporting a concern, provide:

• The relevant profile, pitch, conversation or content;
• A clear explanation of what happened;
• Relevant dates;
• Any supporting screenshots, documents or links you are authorised to share; and
• Information about any immediate safety risk.

Do not submit a report that is knowingly false, misleading, retaliatory, abusive or intended to silence legitimate disagreement.

Blocking and reporting are separate actions. Submitting a report does not automatically block a user, and blocking a user does not automatically create a report.

Blocking restricts certain direct interactions, including new direct connections, direct messages and some comments or notifications. It may not:

• Remove content already sent or posted;
• Delete shared conversation history;
• Remove both users from an existing group conversation; or
• Prevent every interaction within a shared group.

Seedable may be unable to tell a reporter the detailed outcome of an investigation because of privacy, security or legal obligations.

Seedable’s reporting tools are not emergency services. If there is an immediate danger or suspected crime, contact the appropriate emergency service or law-enforcement authority.

13. Review and enforcement

Seedable does not undertake to monitor every profile, pitch, message, post, comment or file. The absence of enforcement does not mean content is permitted or endorsed.

When deciding what action to take, Seedable may consider:

• The nature and severity of the conduct;
• The context and intended audience;
• Whether the conduct appears intentional;
• Actual or potential harm;
• The credibility and availability of evidence;
• The user’s previous conduct;
• Whether corrective action was taken;
• The risk of repeated behaviour;
• Legal or regulatory requirements; and
• The safety and integrity of the Services.

Depending on the circumstances, Seedable may:

• Take no action or dismiss a report;
• Request information, correction or substantiation;
• Send an educational message or warning;
• Reject a submitted pitch;
• Remove an approved pitch from Discover;
• Hide a profile, post or comment;
• Restore content after review;
• Restrict new interactions while an account is suspended;
• Temporarily suspend an account;
• Permanently ban an account;
• Revoke or disable account access;
• Preserve relevant records or evidence;
• Act against related accounts used to evade enforcement;
• Notify affected people where appropriate and lawful;
• Cooperate with a valid legal or regulatory request; or
• Refer a matter to a competent authority where necessary and lawful.

Hidden or removed content may remain stored in restricted form for moderation, audit, security or legal purposes.

Seedable may take immediate action without prior warning where the conduct is serious, urgent, unlawful, fraudulent, threatening, exploitative or presents a material platform risk.

14. Appeals and requests for review

Where an appeal is available, you may request review of a moderation or account decision within 30 days of receiving notice.

Send the request to admin@seedable.co and include:

• The email address associated with your account;
• The decision or content concerned;
• The date of the decision;
• Why you believe the decision was incorrect;
• Relevant context; and
• Any supporting evidence.

An appeal does not guarantee that content or account access will be restored.

Seedable may uphold, reverse or modify the original decision. It may decline to consider an appeal that is late, repetitive, abusive, fraudulent, unsupported or legally prohibited.

Seedable may take additional action if information supplied during an appeal reveals a further violation.

15. Changes to these Guidelines

We may update these Guidelines as the Services, applicable law, platform risks and enforcement practices evolve.

We will update the “Last updated” date when changes are made. Material changes will be communicated as described in the Terms of Service or as otherwise required by law.
